Terms of Service

Introduction

These Terms of Service ("Terms") govern your use of the VidPrep desktop app and the vidprep.app website (together, the "Service"), operated by Patch Tattoo Therapy LLC (doing business as VidPrep, "we", "us"). By creating an account or using the Service, you agree to these Terms.

The Service

VidPrep is a macOS desktop app for organizing raw video footage (culling, AI Selects, trimming), together with this website for account management, subscriptions, and downloads.

• Local editing (culling and trimming) runs on your Mac and is unlimited on all plans.
• AI analysis (AI Selects) is a metered cloud feature. Each plan includes a monthly quota of AI analysis minutes. Quotas reset at the start of each monthly cycle; unused minutes do not roll over.

Accounts

• You must create an account to use the app.
• You must provide accurate information and keep it up to date.
• One account per person. You are responsible for activity under your account and for keeping your credentials secure.
• You must be at least 13 years old (or the age of digital consent in your jurisdiction).

Plans, Billing, and Renewal

VidPrep offers a free plan and paid subscriptions (billed monthly or yearly). Current prices and included AI analysis minutes are shown on the pricing page.

Payments are processed by Stripe. Paid subscriptions renew automatically at the end of each billing period until you cancel. You can cancel, upgrade, or downgrade at any time through the billing portal (Manage subscription in your account settings). Cancellation takes effect at the end of the current billing period; you keep access until then.

If we change prices, we will notify you in advance, and the new price applies from your next renewal.

Refunds

• Monthly plans: you can cancel anytime, effective at the end of the current billing period. Once a month has been charged, it is not refunded.
• Yearly plans: full refund if you request it within 14 days of the charge; after 14 days, yearly plans are non-refundable, except where a refund is required by applicable law.
• Technical faults: if a technical fault on our side prevents you from using the Service, contact support@vidprep.app within 14 days of the charge. Verified technical faults will receive a refund or credit.

Acceptable Use

You agree not to:

• Abuse the AI analysis API, including automated scraping, bulk automation, or reselling analysis capacity.
• Use the Service to process or distribute illegal content.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Circumvent usage limits, including by creating multiple accounts to obtain extra free quota.
• Interfere with or disrupt the Service or other users' access to it.

We may suspend or terminate accounts that violate these rules.

Your Content

You keep full ownership of your footage and any content you process with VidPrep. By sending clips for AI analysis, you grant us a limited license to process those clips solely to provide the Service (that is, to run the analysis and return results to you). We claim no other rights to your content. See our Privacy Policy for how uploaded clips are handled and deleted.

Our Intellectual Property

The VidPrep software, website, branding, and all related materials are owned by us and protected by copyright, trademark, and other intellectual property laws. Your subscription gives you a personal, non-transferable right to use the Service; it does not transfer any ownership to you.

Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that AI analysis results will be accurate or fit for any particular purpose. You are responsible for keeping backups of your footage.

Limitation of Liability

To the maximum extent permitted by law, VidPrep will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising from your use of the Service. Our total liability for any claim arising out of these Terms or the Service is limited to the amount you paid us in the 12 months before the claim arose.

Termination

• By you: you may stop using the Service and delete your account at any time (Settings → Security → Delete Account, or by emailing support@vidprep.app).
• By us: we may suspend or terminate your account for violation of these Terms, including abuse of the AI analysis service. Where reasonable, we will warn you first.

Sections that by their nature should survive termination (such as ownership, disclaimers, and limitation of liability) survive.

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules.

Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the date above. For material changes, we will notify you by email before they take effect. Continued use of the Service after changes take effect means you accept the updated Terms.
